Could Dollar General Lose Out on Family Dollar?



Family Dollar Stores Inc. (NYSE: FDO) is nearing the end of its hunt for a merger partner, and prospects are looking brighter for Dollar Tree Inc. (NASDAQ: DLTR), while Dollar General Corp. (NYSE: DG) seems to be slipping to the wayside. A recent analyst call shed more light on what the future holds for these dollar giants.

Currently, Dollar Tree is the front-runner to takeover Family Dollar. However, the Family Dollar shareholders ultimately will decide the fate of this transaction on January 22. It is worth noting that shareholders also voted by a large margin in December’s voting session to reexamine Dollar General’s offer.

In wake of Family Dollar defeat, Dollar General CEO announces new retirement date

Rick Dreiling, CEO of Goodlettsville-based Dollar General, once intended to retire in late May, but paused those plans as his company pursued a hostile takeover of North Carolina-based Family Dollar.

Thursday, however, Family Dollar's shareholders voted for a competing offer from Dollar Tree, and Dreiling all but admitted defeat.

Family Dollar Investors Approve Dollar Tree Deal: What Happens Now?


In the end it wasn't even close. Family Dollar (NYSE: FDO ) shareholders overwhelmingly voted in favor of the $8.5 billion takeover offer made by smaller rival Dollar Tree (NASDAQ:DLTR ) , bringing to a close a high-stakes drama that played out over several months.

Left behind is the largest deep-discounting chain Dollar General (NYSE: DG ) , which, although it offered half a billion dollars more to buy Family Dollar than Dollar Tree did, could never overcome the belief that it would have to close far more stores to satisfy regulatory antitrust concerns than it would publicly admit.
